Thank you for using your Citibank credit card(s) ("Card") and Citi Pay services (as further defined below) offered by Citibank, N.A. ("Citi"). These terms and conditions ("Terms and Conditions") govern your use of certain functionality, technology and software to enable you to purchase goods and services using your Card, including the Citi Pay mobile application ("Citi Pay Mobile App") and related features or services (collectively, "Citi Pay" or "Citi Pay Services"). These Terms and Conditions are a legal agreement between you and Citi that governs your access to and the use of Citi Pay.
Please review these Terms and Conditions before you decide whether to accept them and continue with the Citi Pay enrollment process. The terms "you" and "your" throughout these Terms and Conditions refer to primary cardholders and authorized users of Cards and the terms "we" or "us" refer to Citi. By using Citi Pay, you agree to only use Citi Pay in accordance with these Terms and Conditions. If you do not agree to these Terms and Conditions, you may not access or use Citi Pay.
By agreeing to these Terms and Conditions, you represent the following:
Your use of Citi Pay to purchase goods and services with your Card is governed by the applicable Card Agreement between you and us in connection with each Card. The Card Agreement is incorporated by reference as part of these Terms and Conditions. The Card Agreement contains a binding arbitration provision that affects your rights with respect to your use of a Card. The arbitration provision applies to any disputes between you and us arising from your access to or use of Citi Pay.
These Terms and Conditions govern your access to and use of Citi Pay only as between Citi and you. Your wireless carrier, Mastercard International Incorporated ("Mastercard") and other third party services or websites may have their own terms and conditions and privacy policies ("Third Party Agreements") and you are also subject to those Third Party Agreements when you provide them your personal information, use their services or visit their respective websites in connection with your use of Citi Pay Services. Citi is not responsible for any other services offered by your wireless carrier or any third party. Accordingly, any information you provide to Citi through the Citi Pay Mobile App, or that is collected or accessed by your Eligible Device in the course of your use of Citi Pay, is subject to such Third Party Agreements.
Citi Pay is available to primary credit card customers and authorized users of certain Citi-branded Mastercard consumer credit cards issued by Citi. To enroll in Citi Pay, you must have registered on Citi Online for online access to at least one Card account. Upon successful enrollment, all of your eligible credit card accounts linked on the website citibankonline.com will be linked ("provisioned") to Citi Pay. You must also download the Citi Pay Mobile App and take the steps necessary to provision your Card to your compatible wireless web-enabled cell phone that uses the Android operating system version 4.4 ("Eligible Device") in order to use Citi Pay at the physical point of sale of participating merchants. This section applies to you if you access or use any feature of Citi Pay using the Citi Pay Mobile App. In order to use the Citi Pay Mobile App, you must have a Citi Online User ID, password and an Eligible Device, equipped with a near field communication (NFC) chipset, that uses the Android operating system version 4.4 or above.
The Citi Pay Mobile App can be used at participating merchants that accept Citi Pay as a form of payment through NFC enabled payment terminals or (when available) for in-app purchases, and where the participating merchant's acquirer accepts Mastercard. The Citi Pay Mobile App allows you to use your Eligible Device to access and use your Card to make such purchases in place of presenting your Card.
In order to use the Citi Pay Mobile App, you must agree to these Terms and Conditions and provision your Card to a qualifying Eligible Device. You may be required to take additional steps to authenticate yourself before your Card is added to the Citi Pay Mobile App, including providing additional identifying information. In provisioning, we add a unique numerical identifier different from your Card number ("Token") to your Eligible Device that enables you to make purchases through the Citi Pay Mobile App. You will still be able to make payments with your existing Token using your qualifying Eligible Device even if your Card is lost or stolen.
You may need to present your Eligible Device at a merchant when you return an item purchased using the Citi Pay Mobile App on your Eligible Device.
You may receive push notifications from us from time to time. If you do not wish to receive notifications, you may turn off these notifications through the device settings on your Eligible Device.
You may use Citi Pay for the purposes of purchasing goods and services (i) at online merchants that display the Masterpass or Citi Pay/Masterpass checkout button; (ii) for in-app purchases on the mobile applications of merchants that display the Masterpass or Citi Pay/Masterpass checkout button; or (iii) if you have downloaded the Citi Pay Mobile App and provisioned your Card, at the physical point of sale of participating merchants (each of the above, a "Citi Pay Merchant").
Purchases you make with Citi Pay using your Card are governed by the Card Agreement. Please review the Card Agreement for important information on your rights and responsibilities when making purchases.You acknowledge that authorized users under your Card account are eligible to enroll in Citi Pay if the primary cardholder has granted them access to register for Citi® Online.
Please review the Card Agreement for important information on your rights and responsibilities when making purchases through Citi Pay. If your Eligible Device is lost or stolen, your PIN, biometric authentication, or other passcode is compromised, or your Card has been used through Citi Pay without your permission, you must notify us immediately. If you fail to notify us without delay, you may be liable for part or all of the losses in connection with any unauthorized use of your Card in connection with Citi Pay.
You are solely responsible for maintaining the confidentiality of your Citi Online User ID, passwords, PINS and any other means that you may from time to time have to access the Citi Pay Mobile App. If you share these credentials with any other person, they may be able to use your account and gain access to your personal and payment information available through Citi Pay Services.
The transaction history displayed in Citi Pay in connection with the use of your Card solely represents our authorization of all transactions on your Cards but does not reflect any post-authorization activity, such as clearing, settlement, foreign currency exchange, reversals, returns or chargebacks. Accordingly, the purchase amount, currency and other details for your Citi Pay transaction history may not match the transactions that ultimately clear, settle and post to your Card's billing statement.
We currently do not impose a fee for using your Card through Citi Pay but we reserve the right to impose a fee in the future.
As a condition to using your Card in connection with Citi Pay, you consent to receiving from us notifications and automatically dialed calls or text messages on your devices and phones, including the phone number you provide, in connection with your use of Citi Pay. If at any time you revoke consent, we may suspend or cancel your ability to use your Cards in connection with Citi Pay.[Back to Contents]
You agree that we may collect, transmit, store, and use technical, location, and login or other information about you and your use of Citi Pay Services. You acknowledge that Mastercard, which has licensed the Citi Pay technology to enable the provision of Citi Pay to Citi, as well as Mastercard's sub-contractors, agents, and affiliates, will have access to certain details of your transactions made with merchants via use of Citi Pay and all of your Citi Online profile information in order to facilitate eCommerce transactions. To facilitate your participation, also note that we will make certain account information relating to each Card you have selected to use with Citi Pay available for display, including your most recent transaction data, but not your full Card account number. Citi Pay and the manufacturer or operating system provider of your Eligible Device may contemplate certain security features and procedures to protect against unauthorized use of your mobile device and services such as Citi Pay. The manufacturer or provider of the operating system of your Eligible Device is solely responsible for these features and procedures. You agree not to disable any of these security features and to use these security features and procedures to safeguard all your Cards in Citi Pay.
You must cooperate with us in any investigation and use any fraud prevention or other related measures we prescribe in connection with Citi Pay.[Back to Contents]
Merchants may present to you certain discounts, rebates or other benefits (e.g. free shipping) ("Offers") in Citi Pay. Such Offers are subject to certain terms and conditions and may change at any time without notice to you. We will not be liable for any loss or damage as a result of any interaction between you and a merchant with respect to such Offers. Subject to applicable law and your Card Agreement, all matters, including delivery of goods and services, returns, and warranties, are solely between you and the applicable merchants. You acknowledge that we do not endorse or warrant the merchants that are accessible through Citi Pay or the Offers that they provide.[Back to Contents]
Subject to applicable law, we may (i) terminate your use of Citi Pay, (ii) modify or suspend the type or dollar amounts of transactions allowed using Citi Pay, and (iii) change the enrollment process at any time in our sole discretion without prior notice.
We may change or modify these Terms and Conditions at any time without notice to you. We may revise these Terms and Conditions by updating the postings, as applicable, on our website. You are granted a non-exclusive, non-sublicensable, non-transferable, personal, limited license to install and use the Citi Pay Mobile App ("Software") only on an Eligible Device that you own or control, solely for your personal use and as expressly permitted herein. Certain Software that Citi uses to provide the Citi Pay Mobile App has been licensed from third parties (each a "Third Party Licensor") that is not affiliated with Citi. This limited right to use the Software is revocable in the discretion of Citi. Citi and its Third Party Licensors retain all right, title and interest in and to the Citi Pay Mobile App and any modifications and updates. You agree not to decompile or reverse engineer the Software. All rights not expressly granted to you are reserved by Citi.[Back to Contents]
Citi Pay is provided "as is" and without warranty. You acknowledge and agree that from time to time, your use of Citi Pay may be delayed, interrupted or disrupted for an unknown period of time for reasons we cannot control. Neither we nor our affiliates or licensors will be liable for any claim arising from or related to Citi Pay due to such delay, interruption, disruption or similar failure. We, our affiliates, and our licensors have no obligation to correct any bugs, defects or errors in Citi Pay or to otherwise support, maintain, improve, modify, upgrade, update or enhance Citi Pay.
We do not recommend, endorse, or make any representation of warranty of any kind regarding performance or operation of your Eligible Device. You are responsible for the selection of an Eligible Device and for all issues relating to the operation, performance and costs associated with such Eligible Device.[Back to Contents]

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE, OUR PROCESSORS, SUPPLIERS, AND LICENSORS (AND THEIR RESPECTIVE AFFILIATES, AGENTS, DIRECTORS, AND EMPLOYEES) ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT; (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO OR USE OF CITI PAY; (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION STORED THEREIN; (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM CITI PAY; (V) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH CITI PAY BY ANY THIRD PARTY; (VI) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE THROUGH CITI; AND/OR (VII) USER CONTENT OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY. IN NO EVENT SHALL WE, OUR PROCESSORS, AGENTS, SUPPLIERS, OR LICENSORS (OR THEIR RESPECTIVE AFFILIATES, AGENTS, DIRECTORS, AND EMPLOYEES) BE LIABLE TO YOU FOR ANY CLAIMS, PROCEEDINGS, LIABILITIES, OBLIGATIONS, DAMAGES, LOSSES OR COSTS IN AN AMOUNT EXCEEDING $500.
THIS LIMITATION OF LIABILITY SECTION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. You will indemnify, defend, and hold us harmless (and our employees, directors, agents, affiliates and representatives) from and against any and all claims, costs, losses, damages, judgments, tax assessments, penalties, interest, and expenses (including reasonable attorneys' fees) arising out of any claim, action, audit, investigation, inquiry, or other proceeding instituted by a person or entity that arises out of or relates to: (a) any actual or alleged breach of your representations, warranties, or obligations set forth in these Terms and Conditions , including any violation of our policies; (b) your wrongful or improper use of Citi Pay, including willful misconduct or fraud; (c) your violation of any third-party right, including without limitation any right of privacy, publicity rights or Intellectual Property Rights; (d) your violation of any law, rule or regulation of the United States or any other country; (e) any other party's access or use of Citi Pay with your PIN or other appropriate security code.[Back to Contents]
You represent and warrant to us that: (i) any and all information you provide to us, such as your name and address, is correct and current (ii) the Cards linked to Citi Online and added to Citi Pay are your credit cards or you are an authorized user (iii) you and all transactions initiated by you will comply with all federal, state, and local laws, rules, and regulations applicable to you, including any applicable tax laws and regulations; (iv) you will not use Citi Pay for any fraudulent undertaking or in any manner so as to interfere with the operation of Citi Pay; and (v) your use of Citi Pay will comply with these Terms and Conditions.GOVERNING LAW
